Terms of Service

Section 01

Introduction

These Terms of Service ("Terms") govern the use of the OnlineWebinar platform and related services ("Services") provided by OnlineWebinar B.V., a company registered in the Netherlands ("OnlineWebinar", "we", "us", or "our").

By entering into a contract with OnlineWebinar or by accessing and using the Services, you ("Client") agree to be bound by these Terms. If you do not agree, you may not use the Services.

Section 02

Services

OnlineWebinar provides a professional browser-based webinar and live streaming platform for corporate clients. The Services include access to the platform, technical infrastructure, support, and associated features as described in the applicable contract.

The specific scope of Services, including features, usage limits, and service levels, is defined in the individual enterprise contract entered into between OnlineWebinar and the Client.

Section 03

Accounts and Access

The Client is responsible for maintaining the confidentiality of all login credentials and for all activities that occur under the Client's account.

The Client must ensure that all users accessing the Services on their behalf comply with these Terms.

OnlineWebinar reserves the right to suspend or terminate access to the Services in the event of a breach of these Terms or the applicable contract.

Section 04

Acceptable Use

The Client agrees not to use the Services to:

  • Transmit unlawful, harmful, defamatory, obscene, or otherwise objectionable content
  • Infringe the intellectual property rights of any third party
  • Distribute malware, viruses, or any other harmful code
  • Conduct unauthorised data collection or surveillance of attendees
  • Violate any applicable laws or regulations, including those of the Netherlands and the European Union

OnlineWebinar reserves the right to remove content or suspend access if these obligations are breached.

Section 05

Intellectual Property

OnlineWebinar retains all intellectual property rights in and to the platform, including its software, design, branding, and documentation. Nothing in these Terms transfers ownership of any intellectual property to the Client.

The Client retains ownership of all content, data, and materials uploaded to or created through the platform ("Client Content"). By using the Services, the Client grants OnlineWebinar a limited, non-exclusive licence to host, store, and process Client Content solely as necessary to provide the Services.

Section 06

Data Processing

The parties acknowledge that in the provision of the Services, OnlineWebinar acts as a data processor and the Client acts as the data controller within the meaning of the General Data Protection Regulation (EU) 2016/679 ("GDPR").

OnlineWebinar processes personal data solely on documented instructions from the Client, as further described in the Data Processing Agreement ("DPA") which forms part of the enterprise contract.

OnlineWebinar implements appropriate technical and organisational measures to ensure the security of personal data processed on behalf of the Client.

In the event of a personal data breach affecting data processed on behalf of the Client, OnlineWebinar will notify the Client without undue delay, and no later than 72 hours after becoming aware of the breach.

Section 07

Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with the Services, and not to disclose such information to third parties without prior written consent, except as required by law.

Section 08

Service Availability

OnlineWebinar aims to provide a reliable, high-availability platform. Specific uptime commitments and service level targets are set out in the enterprise contract.

OnlineWebinar performs regular maintenance and updates to the platform. Where possible, maintenance will be scheduled outside peak business hours. Clients will be notified in advance of any planned downtime.

OnlineWebinar shall not be liable for downtime or service interruptions caused by circumstances outside its reasonable control, including force majeure events, third-party infrastructure failures, or actions of the Client.

Section 09

Fees and Payment

Fees for the Services are agreed in the enterprise contract between OnlineWebinar and the Client.

Invoices are due and payable within the timeframe specified in the contract. OnlineWebinar reserves the right to suspend access to the Services in the event of non-payment.

All fees are exclusive of VAT and any other applicable taxes, which shall be payable by the Client in addition to the fees.

Section 10

Limitation of Liability

To the maximum extent permitted by applicable law, OnlineWebinar's total aggregate liability to the Client arising out of or in connection with the Services shall not exceed the total fees paid by the Client in the twelve (12) months preceding the event giving rise to the claim.

OnlineWebinar shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.

Section 11

Term and Termination

These Terms apply for the duration of the enterprise contract between OnlineWebinar and the Client.

Either party may terminate the contract in accordance with the termination provisions set out therein.

Upon termination, the Client's right to access the Services ceases immediately. OnlineWebinar will retain Client Content for a period of 30 days following termination, after which it will be permanently deleted unless otherwise agreed in writing.

Section 12

Changes to These Terms

OnlineWebinar reserves the right to update these Terms from time to time. Clients will be notified of material changes in advance. Continued use of the Services following notification constitutes acceptance of the updated Terms.

Section 13

Governing Law and Disputes

These Terms are governed by the laws of the Netherlands.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.
